These Terms & Conditions (“Terms”) govern your use of the website www.mlsphere.net and the My Local Sphere client-retention platform (the “Service”), operated by My Local Sphere LLC (“My Local Sphere,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms.

1. The Service

My Local Sphere provides a client-retention platform for local businesses, including missed-call text-back, review generation, dormant-client reactivation, referral tracking, automated gifting, and monthly impact reporting. Specific features available to you depend on your subscription tier.

2. Accounts

You must provide accurate information when creating an account and keep it current. You are responsible for activity under your account and for safeguarding your login credentials.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable telemarketing, messaging, or privacy laws (including the TCPA and CTIA guidelines);
• Send messages to individuals who have not provided valid consent to receive them;
• Upload purchased, rented, or scraped contact lists;
• Attempt to disrupt, reverse-engineer, or gain unauthorized access to the Service.

You are solely responsible for obtaining proper consent from your own customers before sending them messages through the Service.

4. SMS / Text Messaging Terms

• Consent. By providing your mobile number and opting in, you consent to receive transactional and customer-care text messages from My Local Sphere or from businesses using our platform on their own behalf.
• Frequency. Message frequency varies. Missed-call text-back sends one message per missed call; other messages are sent as needed.
• Cost. Message and data rates may apply.
• Opt-out. Reply STOP at any time to cancel. Reply HELP for help.
• Carriers. Mobile carriers are not liable for delayed or undelivered messages.

5. Subscriptions and Payments

Paid tiers are billed monthly at the rates published on our website. Done-for-you plans carry a one-time onboarding fee equal to one month of the plan, as published. Gift orders are billed separately at member rates. Subscription fees are non-refundable except as required by law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.

6. Gifting and Fulfillment

Gift orders are fulfilled through our vendor network. We make reasonable efforts to deliver as described, but delivery dates are estimates. Custom or personalized items are non-refundable once production has begun.

7. Intellectual Property

The Service, including its software, content, branding, and the My Local Sphere name and logo, is owned by My Local Sphere LLC and protected by intellectual property laws. You may not copy, modify, or redistribute it except as expressly permitted.

8. Disclaimers

The Service is provided “as is” without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, nor any specific business results from using the Service.

9. Limitation of Liability

To the maximum extent permitted by law, My Local Sphere LLC will not be liable for indirect, incidental, consequential, or punitive damages. Our total liability for any claim arising from the Service will not exceed the fees you paid in the three (3) months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes will be resolved in the state or federal courts located in Nueces County, Texas.

11. Changes to These Terms

We may update these Terms from time to time. The “Effective date” above will reflect the latest revision, and continued use of the Service after changes constitutes acceptance.
